These Terms of Use ("Terms") govern your access to and use of the SpeakLane website and the SpeakLane macOS application (the "App"). By using SpeakLane, you agree to these Terms.

SpeakLane is operated by Sidewave Digital Inc. These Terms also apply to any updates, features, or services we provide in connection with the App.

Local-first product

SpeakLane runs locally on your device. We do not host, store, or process your content on our servers. You are responsible for your files, content, and backups. If you connect third-party services, their terms and privacy policies apply.

Eligibility

You must be at least 13 years old (or the age of digital consent in your region) to use SpeakLane. If you are under 18, you must have permission from a parent or legal guardian.

License and acceptable use

• We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your personal or internal business use.
• You may not reverse engineer, decompile, modify, resell, or distribute the App except as permitted by law.
• You agree to use the App in compliance with applicable laws and not to use it for unlawful, harmful, or infringing activities.

Your content and responsibility

You control the content you create, import, or process with SpeakLane and are solely responsible for it, including any consequences of how you use or share it. We do not review or endorse user content and are not responsible for it. You are solely responsible for any decisions, actions, or outcomes resulting from your use of the App.

Purchases, pricing, and refunds

Paid plans or licenses are offered through Polar.sh, which processes payments on our behalf. Polar.sh handles your payment details; we do not store your full payment information. Please review Polar.sh's terms and privacy policy for details about their practices.

We may change prices, plans, or features at any time. Price changes for subscriptions take effect at the next billing cycle or as otherwise allowed by law, with notice where required.

We offer a 7-day, no-questions-asked refund policy from the purchase date. We reserve the right to deny refund requests in cases of fraud, abuse, excessive requests, or where prohibited by law. To request a refund, contact support[at]speaklane.app.

Third-party services

The App may link to or interact with third-party services. We are not responsible for those services, and your use of them is governed by their terms and privacy policies.

Intellectual property

The App and all related materials are owned by Sidewave Digital Inc. and its licensors. All rights not expressly granted are reserved.

Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

Disclaimers

SpeakLane is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the App will be uninterrupted, secure, or error-free, or that defects will be corrected.

Limitation of liability

To the fullest extent permitted by law, Sidewave Digital Inc. will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, or goodwill. Our total liability for any claim arising out of or relating to SpeakLane will not exceed the amount you paid to us in the 12 months prior to the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so these limits apply to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Sidewave Digital Inc. from any claims, damages, losses, liabilities, and expenses arising out of your use of the App or violation of these Terms.

Termination

We may suspend or terminate your access to SpeakLane if you violate these Terms or if we discontinue the product. You may stop using the App at any time.

Changes to these Terms

We may update these Terms from time to time. Continued use of SpeakLane after changes means you accept the updated Terms.
